Doch gerade nationale Interessen der Mitgliedsstaaten verhinderten jahrelang einen Konsens, da vor allem die nationalen Gesellschaftsformen nicht geschwächt werden sollten und die angestrebten Mitbestimmungsrechte der Arbeitnehmer eine große Kontroverse hervorriefen. Erst mit dem Regierungsgipfel von Nizza wurde im Dezember über den letzten Streitpunkt, der Mitbestimmung, eine Einigung getroffen, so dass auf dieser Grundlage am 08.10.2001 die „Verordnung über das Statut der europäischen Gesellschaft“ (SE-VO) sowie die „Richtlinie 2001-86-EG des premiums zur Ergänzung der SE-VO“ (SE-RL) vom Ministerrat verabschiedet wurden. Mit der Umsetzung der Verordnung in den Mitgliedsstaaten durch entsprechende Einführungsgesetze traten Verordnung und Richtlinie am 08.10.2004 in Kraft (vgl. artwork. 70 SE-VO und artwork. 14 (1) SE-RL). Die vorliegende Arbeit soll einen Überblick über die wichtigsten Aspekte der SE geben. Hierzu werden im zweiten Kapitel die verschiedenen Rechtsquellen auf europäischer und nationaler Ebene vorgestellt und dann deren Zusammenwirken aufgezeigt. Da sich die Arbeit nur mit der SE im deutschen Rechtsraum beschäftigt wird auf nationaler Ebene auf das SEEG und das AktG eingegangen. In Kapitel three werden die Voraussetzungen für die Gründung einer SE aufgezeigt und in einem zweiten Schritt auf die einzelnen Formen der Gründung eingegangen. Das Kapitel four befasst sich mit den Organen einer SE in einem dualistischen sowie einem monistischen Verwaltungssystem. Die Mitbestimmungsrichtlinien der Mitarbeiter sollen wegen des Umfangs nur kurz dargestellt werden. Eine praktische Darstellung der SE wird durch die Verschmelzung der Allianz AG mit der RAS S.p.A. zur Allianz SE in Kapitel five aufgezeigt.
Als Abschluss wird in Kapitel 6 eine kritische Würdigung der SE vorgenommen, um hier vor allem die Schwächen aufzuzeigen.
